These Terms of Service (the "Terms") are an agreement between you and Rising Success Investment Pte. Ltd. (a company registered in Singapore, which operates BoothAI · boothai.co, "BoothAI" or "we") regarding your use of the BoothAI service. Within the People's Republic of China, the service is operated by an entity we authorize (which we will update once confirmed).
By registering for, accessing, or using the service, you confirm that you have read, understood, and agree to these Terms and the Privacy Policy. If you do not agree, please do not use the service. The service is intended for businesses and professional users, not for individual consumers or minors.
1. Definitions
- Service: the booth design, quoting, builder matching, and project coordination services provided by BoothAI through the website and related tools.
- You / User: the business that registers for or uses the service, and its authorized personnel.
- Builder: a third-party provider on the platform that undertakes on-site booth construction and delivery.
- Deliverables: the design proposals, renderings, BOM quotes, strategy reports, and other outputs the platform generates for your project.
2. Accounts and Registration
- The service is currently invite-only. You must provide true, accurate, and complete registration information and keep it up to date.
- You must keep your account and password secure and are responsible for all activity under your account; if you discover unauthorized use, notify us immediately.
- You may not transfer, rent out, or authorize others to use your account in a way that violates these Terms.
3. Nature and Scope of the Service
- BoothAI uses AI to generate booth design proposals and itemized BOM quotes for you, connects you with certified builders, and provides coordination and acceptance support throughout the project.
- Nature of the service: unless otherwise agreed in writing, the actual construction and delivery of the physical booth is carried out by the builder; the corresponding construction, quality, and schedule are governed by the formal contract you sign with the builder and/or us. BoothAI primarily provides design, quoting, and project coordination, and is not liable for a builder's independent conduct beyond what is required by law or agreed by contract.
- Nature of AI outputs: the proposals, quotes, and reports generated by the platform are for reference and to assist your decisions; the final design, price, and feasibility are governed by the order / contract confirmed in writing by both parties.
4. Quotes, Fees, and Payment
- The service may involve design-related fees, a good-faith deposit / down payment, and material and build costs; the specific items and amounts are as set out on the order page and in the signed contract.
- Good-faith deposit: to start design or reserve the service, you may need to pay a good-faith deposit (e.g., ¥800); it may be credited against later amounts as agreed and refunded where the agreed conditions are met, per the rules stated on the order page.
- Quotes are estimates: the BOM quotes generated by the platform are estimates; the final price is governed by the contract / Pro Forma Invoice issued when the order is confirmed. Third-party costs such as venue and logistics may be settled based on the actual amounts incurred.
- Taxes and invoices are issued in accordance with applicable law. Online payments may be processed by third-party payment service providers; payment methods, terms, and refund rules are governed by the order page and the contract.
5. Your Obligations and Conduct
- You warrant that the information you register and submit is true and lawful, and that you own or have obtained the necessary rights to the materials you upload.
- The content you upload or provide must not infringe any third party's intellectual property, trade secrets, or other lawful rights; you are responsible for, and will hold us harmless from, third-party claims arising from the content you provide.
- You must not use the service for illegal, fraudulent, infringing, or harmful activities; you must not interfere with or disrupt the platform, reverse-engineer it, or bypass its security measures.
6. Intellectual Property
- Platform IP: the platform's interface, brand, software, algorithms, and trained model weights belong to BoothAI or its licensors. They may not be copied, resold, reverse-engineered, or used for secondary development without authorization.
- Your materials: the brand assets you upload (logos, product images, copy, etc.) remain yours; you grant us a license to use them to provide the service and to improve the service in accordance with the Privacy Policy.
- Deliverables license: for the design proposals, quotes, and reports we generate for your project, we grant you a license to use them within your exhibition and business context; the general methods, templates, and underlying elements involved remain BoothAI's.
7. Third Parties and External Services
The service relies on third parties (including AI model providers, cloud computing and storage providers, and builders). The availability and performance of third-party services may affect the service. We select our partners with care but are not liable for the independent conduct of third parties beyond what the law requires. 8. Delivery and Acceptance
- On-site booth construction is carried out by certified builders, with BoothAI responsible for end-to-end coordination.
- Acceptance is based on a 1:1 comparison between the agreed rendering / drawings and the on-site result; if there is a material deviation, we will coordinate with the builder to rectify it within a reasonable period.
- Exhibitions are time-sensitive: delivery progress may be affected by move-in scheduling, logistics, and on-site conditions, and requires your cooperation (such as confirming designs on time, providing materials, and handling relevant formalities).
9. Disclaimer and Limitation of Liability
- To the extent permitted by law, the service is provided on an "as is" and "as available" basis. AI-generated outputs are for reference, and we do not warrant their accuracy or suitability, or the business results you obtain from using them.
- To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or punitive damages; our aggregate liability to you for the service is limited to the amount you have actually paid us for the relevant service.
- We are not liable for breach where service interruption, delay, or non-performance is caused by force majeure (natural disasters, policy changes, public-health events, third-party system failures, power or network outages, etc.), though we will make reasonable efforts to reduce the impact.
10. Changes, Suspension, and Termination
- We may change, suspend, or terminate part or all of the service based on operational or legal needs; for material changes, we will give reasonable advance notice by appropriate means.
- You may delete projects and close your account at any time via your dashboard. Termination does not affect rights and obligations that have already arisen.
- If you materially breach these Terms or applicable law, we may suspend or terminate your account and reserve the right to pursue liability in accordance with law.
11. Updates to These Terms
We may update these Terms from time to time. When we do, we will publish the new version on this page and update the effective date; for material changes, we will notify you separately by appropriate means (such as an in-site notice or email). If you continue to use the service after the changes take effect, you are deemed to accept the updated Terms.
12. Governing Law and Dispute Resolution
The formation, validity, interpretation, and dispute resolution of these Terms are governed by the laws of Singapore. Any dispute arising out of these Terms or the service shall first be resolved through good-faith negotiation; failing which, it shall be submitted to the Singapore International Arbitration Centre (SIAC) for arbitration in Singapore under its arbitration rules then in force, with the language of arbitration being English. The arbitral award is final and binding on both parties.
13. Miscellaneous
- Governing language: these Terms are provided in Chinese and English; in the event of any discrepancy between the two versions, the English version prevails.
- Severability: if any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.
- Entire agreement: these Terms, together with the Privacy Policy and the relevant order / contract, constitute the entire agreement between you and us.
- Notices: we may send you notices in-product, by email, or through the contact details you have provided.
